Content Resellers
Teach & Track can be purchased under a special license agreement* that allows you to resell your own content. Call for details. Use of the regular Teach & Track license for content reselling is strictly prohibited.

Technical Support
Technical Support is available 9:00 AM – 5:00 PM Eastern Standard Time, Monday through Friday. For each Organization code, at the time it is first licensed (not renewed), telephone and email technical support are available free of charge, for two administrators for 90 days. Thereafter, email support is available free of charge, and telephone support is available at a fee of $50.00/hr (minimum one hour).

Miscellaneous
If during the course of an annual license additional User seats are required, they must be purchased in blocks as specified on the Teach & Track pricing chart in use at the time additional User seats are required.  The new User seats expire on the same date as the license currently in effect.

Licensees opting not to use Teach & Track or Test Banks during the course of their annual license agreement will not be entitled to a refund.

Annual renewal fees will be invoiced 45 days in advance of the renewal date, to be paid in full 15 days prior to the expiration date of the license agreement.

Sample Purchase License
1. SOFTWARE LICENSE. Subject to the terms of this Agreement, PDS hereby grants to Licensee a limited, nonexclusive and nontransferable license for its Users to use the Website and/or Application and any associated Documentation solely as set forth below and in accordance with such Documentation. The "Application" is the PDS software available through this website. A “User” is an employee of, or student affiliated with, the licensing institution. The number of Users for the Application will be established at the time of the license grant based on the license fees paid. Licensee may only create and use the number of applicable User accounts for which it pays license fees and receives product authorization codes from PDS with respect to its use of the Application. “Documentation” means the user, administrator and technical manuals, electronic or otherwise, pertaining to the Application provided to Licensee by PDS in any manner, including, without limitation, through the Website, via e-mail, or otherwise. Term of license: Annual beginning on the Effective Date. Method of access and use: Via the Internet through www.TeachandTrack.com (the “T&T Website”). Limitations: The number of Users for which license fees have been paid may access and use the licensed Application through the Teach & Track Website (www.TeachandTrack.com), as directed by PDS, using any computer connected to the Internet, subject to such Users agreeing to any additional applicable terms and conditions of use set forth on the Website. Licenses for additional Users are available for additional applicable license fees. The license term for any such additional Users will be co-terminated with the expiration of the annual term of the original license. Teach and Track Optional Test Banks Content Term of license: Test Banks may be used indefinitely (no expiration date) within the Teach & Track website only, provided the Licensee has a valid and current license for use of Teach & Track. Method of access and use: Via the Internet through www.TeachandTrack.com (the “T&T Website”). Limitations: Test Banks content may be used solely with the Application (T&T Website). 2. SUPPORT SERVICES. Technical support services (“Support Services”) for the Application is available to two (2) of Licensee’s designated contacts (“Designated Contacts”) via e-mail and telephone Monday through Friday between 9 A.M. and 5 P.M. Eastern Standard Time, excluding U.S. and PDS holidays. Support Services provided via e-mail are included in the license fees paid, for the term of the applicable license. Support Services provided via telephone are included in the license fees paid for the first ninety (90) days of the applicable license term and thereafter for $50 per hour with one (1) hour minimum charged. As part of Support Services, PDS will maintain a telephone support line and electronic mail system to facilitate reporting and resolution of reproducible errors that result in the material failure of the Application to operate or function in substantial conformance with the Documentation (each a “Problem”). Problems shall be reported by either of the Designated Contacts to PDS. PDS shall have no responsibility to provide Support Services to Licensee if a Problem is attributable to: (a) use of the Application not in accordance with the then current Documentation; (b) use of the Application in combination with unauthorized hardware or third party software; (c) unauthorized alterations or modifications of the Application by or at the direction of anyone other than PDS; (d) use of the Application outside the scope of the license rights granted to Licensee under this Agreement; or (e) defects, errors, damage or other problems associated with defective or unauthorized hardware or third party (including Licensee’s) software configured with the Application. 3. TERM AND TERMINATION. Each license hereunder shall expire at the end of its applicable term, unless earlier terminated by PDS hereunder. PDS may terminate any license hereunder and this Agreement as a whole immediately upon written notice to Licensee based on Licensee’s material breach of this Agreement. Upon the termination or expiration of any license hereunder, Licensee shall (a) cease using the Application to which such license applies, and (b) delete and destroy the Application or portions thereof installed on Licensee’s computer systems. 4. PROPRIETARY RIGHTS; RESTRICTIONS. Licensee acknowledges that PDS owns the Application and all content therein, that the Application is not generally published, and that the Application embodies PDS’s trade secrets. All right, title and interest in and to the Application and all content therein, including without limitation, all copyrights, trade secrets and other intellectual property rights pertaining thereto will remain vested in PDS. Except as expressly authorized by this Agreement, Licensee may not use, display, modify, distribute or reproduce the Application. In addition, Licensee shall not transfer, rent, lease, reverse engineer, sublicense, decompile or disassemble the Application. PDS reserves all rights not expressly granted to Licensee hereunder. The parties agree that monetary damages will not be an adequate remedy for breach of Licensee’s obligations set forth herein. In addition to all other remedies, PDS will have the right to apply to a court of competent jurisdiction for equitable relief. PDS may conduct periodic audits in order to verify Licensee’s compliance with the terms and conditions of this Agreement. 6. LIMITED WARRANTIES AND DISCLAIMERS. PDS represents and warrants for thirty (30) days from the Effective Date, that the Application will operate substantially in accordance with the applicable Documentation, provided that Licensee operates the Application in compliance with such Documentation. In the event the Application fails to satisfy the warranty immediately above, PDS will, at its option, correct or replace the nonconforming portion of the Application in a timely manner and will otherwise provide the Support Services for such Application as set forth herein. The limited warranty set forth herein will not apply to nonconformities determined by PDS to have been caused by (a) deletions or modifications to an Application performed by a party other than PDS,(b) negligence in the operation or use of an Application, or (c) use, adjustments, installation, or malfunction of any products or goods other than those authorized by PDS. The limited warranties set forth in this Agreement are made for Licensee’s benefit only. The remedies set forth above are the sole and exclusive remedies for breach of these limited warranties. PDS MAKES NO WARRANTY OR REPRESENTATION THAT LICENSEE’S USE OF THE APPLICATION WILL BE UNINTERRUPTED OR ERROR-FREE, AND SPECIFICALLY DISCLAIMS ANY AND ALL OTHER WARRANTIES, WHETHER WRITTEN OR ORAL, EXPRESS OR IMPLIED, WITH RESPECT TO THE APPLICATION, OR ANY OTHER GOODS OR SERVICES PROVIDED BY PDS, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. 7. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES WILL PDS HAVE ANY LIABILITY TO LICENSEE OR ANY THIRD PARTY FOR ANY CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, INDIRECT OR SPECIAL DAMAGES OR COSTS (INCLUDING ATTORNEYS' FEES) RESULTING FROM ANY CLAIM (WHETHER IN CONTRACT, TORT OR OTHERWISE) REGARDING THIS AGREEMENT OR RESULTING FROM THE USE OR INABILITY TO USE, OR PERFORMANCE OR NONPERFORMANCE OF, THE APPLICATION OR ANY SERVICES PROVIDED BY PDS, EVEN IF PDS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL PDS BE LIABLE TO LICENSEE UNDER THIS AGREEMENT OR OTHERWISE, REGARDLESS OF THE FORM OF CLAIM OR ACTION, IN AN AMOUNT THAT EXCEEDS THE LICENSE FEES PAID UNDER THIS AGREEMENT FOR THE THEN-CURRENT LICENSE PERIOD FOR THE APPLICATION. 8. MISCELLANEOUS. Jurisdiction, Choice of Law. This Agreement is made in and shall be governed by the laws of the State of North Carolina, excluding choice of law principles, and all actions with regard to any Application licensed under this Agreement shall have proper jurisdiction and venue in the state or federal courts of North Carolina. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from this Agreement. Assignment. Licensee shall not assign this Agreement, in whole or in part, without the prior written consent of PDS. This Agreement shall be binding on and inure to the benefit of the parties and their respective successors and permitted assigns. Use of Name. PDS shall have the right to refer to Licensee in press releases and/or other marketing materials as a PDS customer and user of the Application. Survival. Any provision of this Agreement which by its terms or nature is intended to survive shall survive the termination or expiration, as the case may be, of this Agreement. Severability. This Agreement shall be deemed severable. If any part of this Agreement is found invalid or unenforceable under current or future laws, the invalid or unenforceable provision shall be severed and of no force or effect, and the remaining provisions shall remain in full force and effect and shall not be affected by the invalid or unenforceable provisions or by their severance herefrom. Entire Agreement. This Agreement, the Documentation, and any invoices arising under it contain the entire agreement and understanding between the parties and supersede all prior or contemporaneous negotiations, proposals, discussions, correspondence, agreements and understandings relating to the subject matter of this Agreement. Additional or different terms on current or future Licensee or third party purchasing documents are expressly objected to and rejected. The terms and conditions of this Agreement may not be modified or amended except in writing, signed by both parties hereto. Any waiver of any term or condition herein must be in writing. No such waiver shall be considered a continuing waiver or waiver of any other term or condition herein.
